Welcome to SpeakPro Osaka. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and SpeakPro Osaka ("we," "us," or "our") regarding your use of our website https://defenestration.pro and coaching services.
By accessing our website, booking consultations, or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

Our services are educational and developmental in nature. We do not guarantee specific outcomes, job placements, or career advancement as a result of our coaching services.
You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

We reserve the right to suspend or terminate your account if any information provided is inaccurate, fraudulent, or violates these Terms.
When you submit a consultation request through our website or contact forms, you acknowledge that this constitutes an inquiry and not a confirmed booking. We will contact you within 24-48 hours to confirm availability and schedule your session.
Appointments are confirmed only upon receipt of your confirmation and any required payment. You will receive a confirmation email with session details, including date, time, location (or virtual meeting link), and coach assignment.
You may cancel or reschedule appointments with at least 24 hours advance notice without penalty. Cancellations or reschedule requests made less than 24 hours before the scheduled session may result in forfeiture of the session fee or a rescheduling fee of 50% of the session cost.
In cases of emergency or extenuating circumstances, please contact us as soon as possible. We will work with you to find an appropriate solution.
Failure to attend a scheduled session without prior notice (no-show) will result in forfeiture of the full session fee. No refund or credit will be provided for no-shows.
We reserve the right to cancel or reschedule sessions due to coach illness, emergency, or unforeseen circumstances. In such cases, we will provide at least 24 hours notice when possible and offer alternative scheduling options or a full refund of any fees paid for the affected session.
Prices for our services are displayed on our website and may vary based on service type, session duration, and program package. All prices are in Japanese Yen (JPY) unless otherwise stated.
We accept payment via credit card, debit card, bank transfer, and other methods as indicated during the booking process. All payments are processed securely through third-party payment processors.
Payment is required at the time of booking or according to the payment schedule outlined in your service agreement. For package programs, payment plans may be available and will be specified in your agreement.
Failure to make timely payment may result in suspension of services until payment is received. Late payments may incur additional fees or interest as permitted by law.
We reserve the right to modify our pricing at any time. Price changes will not affect services already booked and paid for, but will apply to future bookings.

If you require mental health support, medical advice, or other services outside our scope, we can provide referrals to appropriate professionals.
All content on our website and provided during coaching sessions, including text, graphics, logos, images, videos, audio, software, and training materials, is the property of SpeakPro Osaka or our licensors and is protected by copyright, trademark, and other intellectual property laws.
You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any of our content without express written permission.
We grant you a limited, non-exclusive, non-transferable license to access and use coaching materials provided to you solely for your personal development purposes. This license terminates upon completion of your coaching program or termination of these Terms.
Any feedback, suggestions, or ideas you provide about our services become our property, and we may use them without compensation or attribution to you.
We maintain confidentiality of information you share during coaching sessions, except:
You agree to maintain confidentiality of proprietary coaching methodologies, materials, and techniques shared during your coaching experience.
While we strive to provide high-quality coaching services, we cannot guarantee specific results, outcomes, or improvements. Success depends on many factors, including your effort, practice, and circumstances beyond our control.
We provide our services on an "as is" and "as available" basis. We do not warrant that our services will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, SpeakPro Osaka and its coaches, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or opportunities, arising from your use of our services.
Our total liability for any claim arising from these Terms or your use of our services shall not exceed the amount you paid for the specific service giving rise to the claim.
You agree to indemnify and hold harmless SpeakPro Osaka and its coaches, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your breach of these Terms or misuse of our services.

You may terminate your relationship with us at any time by providing written notice. Termination does not entitle you to refunds except as specified in our Refund Policy.

You agree to submit to the exclusive jurisdiction of the courts located in Osaka, Japan for resolution of any disputes that cannot be resolved through negotiation, mediation, or arbitration.
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and SpeakPro Osaka regarding our services and supersede any prior agreements.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
You may not assign or transfer these Terms or your rights under them without our written consent. We may assign these Terms without restriction.
We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.
